1. Acceptance of Terms
By purchasing, scheduling, or using any services from Schoedel Systems Design, LLC (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.
These Terms apply to all services offered through our website, including but not limited to initial consultation appointments, AI implementation consulting, business process optimization, and related technical services.

3. Services Offered
3.1 Initial Consultation Appointments
We offer paid initial consultation appointments to assess your AI implementation needs, business process optimization opportunities, and technology requirements. These consultations are conducted remotely via video conference.
3.2 Ongoing Consulting Services
Following initial consultation, we may provide additional services including:
- AI automation analysis and optimization
- Business process improvement consulting
- Technology implementation planning
- Custom AI solution development
- Data analytics and reporting services
3.3 Service Limitations
All services are provided remotely. We do not provide on-site services. Our recommendations are advisory in nature and implementation is at your discretion.
4. Booking and Payment Terms
4.1 Appointment Booking
- Initial consultation appointments are purchased through our SureCart-powered booking system
- Payment is required at time of booking
- Appointments must be scheduled within 30 days of purchase
- Rescheduling is permitted with 24-hour advance notice
4.2 Payment Processing
- All payments are processed securely through SureCart
- We accept major credit cards and ACH transfers
- Prices are listed in US Dollars
- Texas sales tax may apply where required by law
4.3 Pricing
- Initial consultation rates are clearly displayed at time of purchase
- Ongoing consulting services are billed at $75/hour unless otherwise agreed in writing
- All prices are subject to change with 30 days’ notice
5. Cancellation and Refund Policy
5.1 Client Cancellations
- 24+ hours notice: Full refund available
- Less than 24 hours notice: 50% refund available
- No-show: No refund available
- Rescheduling: Free with 24+ hours notice, $25 fee with less notice
5.2 Company Cancellations
If we must cancel due to illness, technical issues, or other circumstances beyond our control, you will receive a full refund or the option to reschedule at no additional charge.
5.3 Refund Processing
Approved refunds will be processed within 5-7 business days to the original payment method.
6. Intellectual Property
6.1 Company Materials
All methodologies, frameworks, templates, and proprietary analysis techniques remain the intellectual property of Schoedel Systems Design, LLC.
6.2 Client Materials
All client-specific recommendations, reports, and implementation plans become the property of the client upon full payment.
6.3 Confidential Information
We respect your confidential business information and will not share it with third parties except as required by law or with your explicit written consent.
7. Limitation of Liability
7.1 Advisory Nature of Services
Our services are consultative and advisory in nature. We provide recommendations based on our professional experience, but we cannot guarantee specific business outcomes or results.
7.2 Liability Limitations
To the maximum extent permitted by Texas law:
- Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for implementation decisions made by clients
- We are not liable for technical failures, data loss, or system downtime beyond our direct control

- Maintaining appropriate backups and security measures
8. Privacy and Data Protection

9. Dispute Resolution
9.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
9.2 Jurisdiction
Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Bexar County, Texas.
9.3 Mediation
Before pursuing formal legal action, both parties agree to attempt resolution through good-faith mediation with a mutually agreed-upon mediator in San Antonio, Texas.

10.2 Health Considerations

11. Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters or severe weather
- Government actions or regulations
- Internet or telecommunications failures
- Health emergencies
- Technical infrastructure failures beyond our control
12. Modifications to Terms
